A major Bitcoin-related accounting controversy has shaken investor confidence in Datavault AI, sending its shares down nearly 50% after the company revealed difficulties accessing cryptocurrency associated with a $150 million investment agreement.

We believe the development raises an important question for companies adopting Bitcoin as a treasury asset: What happens when cryptocurrency appears on a balance sheet but cannot be transferred when needed?

Datavault AI’s latest disclosures reveal that the problem extends beyond cryptocurrency custody, potentially affecting the company’s financial reporting, liquidity assumptions, and ability to secure future funding.

TL;DR

Datavault AI shares fell approximately 49.55% on October 27 after the company disclosed unresolved Bitcoin withdrawal problems.
The company expects accounting corrections to reduce previously reported assets by as much as $92.2 million.
We examine how the incident exposes risks involving third-party custody, financial transparency, and corporate Bitcoin treasury management.

Datavault AI Faces Investor Backlash Over Bitcoin Access

Datavault AI (NASDAQ: DVLT) experienced a dramatic selloff on October 27, with its shares closing at approximately $0.067.

The decline followed revelations that the company had been unable to complete a Bitcoin withdrawal from an account maintained by cryptocurrency exchange Biconomy.

The issue originated in a September 2025 agreement with Scilex Holding Company, which committed to purchasing $150 million worth of Datavault securities using Bitcoin.

Under the arrangement, Scilex credited 1,309.04 BTC to Datavault’s Biconomy account through off-chain transfers.

However, when Datavault requested a withdrawal to an external wallet in June 2026, the transaction could not be completed.

As of the company’s October 26 disclosure, the withdrawal remained unresolved.

We see the central concern as one of control and liquidity: a recorded cryptocurrency balance does not necessarily mean a business can immediately access those funds.

Accounting Corrections Could Remove Millions From Reported Assets

The company’s financial difficulties became more significant when management and its audit committee concluded that several previously published financial statements should no longer be relied upon.

In its October 26 SEC filing, Datavault explained that Bitcoin associated with the Scilex transaction did not qualify for recognition as its digital asset.

Instead, the arrangement should have been recorded as a subscription receivable related to the issuance of company shares, presented as a reduction in shareholders’ equity.

The expected reductions in previously reported assets include:

$8.1 million as of September 30, 2025.
$92.2 million as of December 31, 2025.
$57.1 million as of March 31, 2026.
$49 million as of June 30, 2026.

These adjustments remain preliminary and could change as the company completes its review.

We believe the scale of the corrections helps explain why investors reacted so strongly.

Third-Party Bitcoin Custody Comes Under Scrutiny

One particularly important aspect of the situation involves how the cryptocurrency was transferred.

Rather than moving Bitcoin directly between independent blockchain wallets, Scilex credited the funds through off-chain transactions within Biconomy.

Such arrangements can simplify transactions, but they also introduce dependence on a third-party platform.

Datavault subsequently exchanged approximately 491.43 BTC back to Scilex for roughly $40.5 million in cash.

However, the remaining withdrawal issue has raised questions about the accessibility of the cryptocurrency associated with the original agreement.

We should emphasize that the disclosure does not establish that the Bitcoin was stolen or permanently lost.

The company has not provided a definitive explanation for the unsuccessful withdrawal.

For businesses exploring Bitcoin treasury strategies, the incident illustrates why custody arrangements and withdrawal procedures deserve close examination.

Liquidity Questions Add Pressure To Datavault’s Financial Outlook

The consequences extend beyond accounting adjustments.

Datavault previously considered the Bitcoin balances a potential source of liquidity that could support its business operations.

Now that those balances will no longer be recognized as company-owned digital assets, management is reassessing its ability to continue operating under applicable accounting standards.

The company also acknowledged uncertainty surrounding the collection of amounts owed by Scilex.

We view these developments as particularly important because they connect cryptocurrency custody arrangements directly to conventional corporate financing risks.

Investors following the broader cryptocurrency industry will recognize that treasury strategies require more than exposure to digital asset prices.

Reliable access to funds, transparent accounting, and financial controls remain essential.

What We Will Watch Next

Several developments could determine whether Datavault can restore investor confidence.

First, we will watch for clarification regarding the Bitcoin withdrawal and any progress involving Biconomy.

Second, the company’s revised financial statements should provide a clearer picture of its assets, shareholders’ equity, and financial position.

Finally, we will monitor management’s reassessment of liquidity, financing requirements, and internal accounting controls.

The situation also raises broader questions for companies incorporating digital assets into their balance sheets.

As institutional participation expands across the blockchain sector, investors may increasingly scrutinize whether reported cryptocurrency holdings are independently verifiable and accessible.

For now, Datavault AI’s sharp stock decline serves as a reminder that corporate Bitcoin adoption introduces operational and accounting risks alongside potential financial opportunities.
