Merger Expands Moonpay’s Reach
Financial technology firm Moonpay has entered into a definitive merger agreement to acquire North Capital Investment Technology, a platform providing technology and regulated brokerage services for private markets.
The acquisition will integrate North Capital’s securities brokerage, investment advisory, and clearing capabilities into Moonpay’s global infrastructure, moving the crypto-native company further into traditional and tokenized private securities.
While financial terms of the deal were not disclosed, reports suggest the all‑stock transaction is valued at more than $60 million. The announcement comes just weeks after Moonpay, working with Paypal and M0, launched a platform enabling companies to build their own stablecoin‑based products.
Upon completion, North Capital will operate as a wholly owned subsidiary of Moonpay.
The move reflects a growing push by digital asset companies to acquire established, regulated market infrastructure as mainstream finance increasingly explores the tokenization of real-world assets. North Capital operates several entities registered with the U.S. Securities and Exchange Commission, including broker-dealers, an alternative trading system (PPEX ATS), a transfer agent, and an investment advisor.
“All financial markets are becoming more technology-driven, but the infrastructure supporting them is still fragmented across different tech stacks, providers, and workflows,” said Ivan Soto-Wright, CEO and founder of MoonPay. “At MoonPay, we’re building the regulatory foundation to support mass adoption of tokenized real-world assets.”
North Capital’s Platform Has Processed $8.7B in Transactions
North Capital provides technology, custody, escrow, and secondary trading services for private securities issuers, fund managers, and institutional investors. To date, its platform has facilitated more than $8.7 billion in primary and secondary transaction volume, while its alternative trading system, PPEX, supports more than 1,250 approved assets for secondary trading.
James P. Dowd, founder and CEO of North Capital, said the combination would help expand access and liquidity in private markets.
“MoonPay has built a global financial technology platform with significant reach,” Dowd said. “We see a compelling opportunity to combine our teams and capabilities while continuing to support the clients and partners who have helped build North Capital.”
While the boards of directors for both companies unanimously approved the transaction, final completion remains subject to customary closing conditions and regulatory approvals.
